Welcome to HiHlo! These Terms & Conditions govern your use of our platform, a creative social space for creators to share stories, connect with audiences, and grow their brand. By accessing or using HiHlo, you agree to be bound by these terms. If you do not agree, please do not use our services.

Acceptance of Terms

By accessing or using HiHlo’s platform, including our website and mobile applications, you agree to these Terms & Conditions, our Privacy Policy, and any additional guidelines or rules we may post on the platform. These terms form a legally binding agreement between you and HiHlo.

If you are using HiHlo on behalf of an organization, you represent that you have the authority to bind that organization to these terms, and "you" refers to that organization.

Eligibility

To use HiHlo, you must:

• Be at least 13 years old. If you are between 13 and 18, you must have parental or guardian consent to use the platform.
• Not be prohibited from using our services under applicable laws or regulations.
• Not have been previously banned or suspended from HiHlo for violating these terms.

We reserve the right to refuse service to anyone for any reason at any time, subject to applicable law.

Account Creation and Responsibilities

Account Creation

To access certain features of HiHlo, such as posting content or engaging with communities, you must create an account. You agree to provide accurate, complete, and up-to-date information during registration.

Account Security

You are responsible for maintaining the confidentiality of your account credentials, including your password. You agree to notify us immediately at support@hihlo.com if you suspect any unauthorized access to or use of your account.

You are solely responsible for all activities that occur under your account, whether or not you authorized them. We are not liable for any loss or damage arising from your failure to secure your account.

Account Restrictions

You may not:

• Create an account using a false identity or someone else’s identity.
• Share your account credentials with others.
• Use another user’s account without their permission.

User Content

Ownership and License

You retain ownership of the content you create and post on HiHlo, including text, images, videos, and other media ("User Content"). By posting User Content, you grant HiHlo a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, modify, display, and perform your User Content in connection with operating and promoting the platform.

This license allows us to host your content, make it available to other users, and feature it in marketing materials. You can terminate this license by deleting your content or closing your account, though content that has been shared or repurposed by others may remain on the platform.

Content Responsibility

You are solely responsible for your User Content. You represent and warrant that:

• You own or have the necessary rights to post your User Content.
• Your User Content does not infringe on the intellectual property, privacy, or other rights of any third party.
• Your User Content complies with these Terms & Conditions and all applicable laws.

Content Moderation

We reserve the right, but are not obligated, to review, monitor, or remove User Content at our discretion, especially if it violates these terms. We may also suspend or terminate accounts associated with problematic content.

Prohibited Conduct

You agree not to engage in any of the following activities on HiHlo:

• Posting or sharing content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.
• Engaging in harassment, bullying, or discrimination based on race, gender, religion, nationality, disability, sexual orientation, or other protected characteristics.
• Using HiHlo to distribute spam, malware, viruses, or other harmful code.
• Attempting to gain unauthorized access to our systems, networks, or other users’ accounts.
• Using automated scripts, bots, or other tools to scrape, crawl, or collect data from the platform without our permission.
• Engaging in any activity that interferes with or disrupts the platform’s functionality, security, or performance.
• Impersonating another person or entity, or misrepresenting your affiliation with any person or entity.
• Using HiHlo for any commercial purpose not expressly permitted by us, such as unauthorized advertising or solicitation.

Violation of these rules may result in content removal, account suspension, or legal action, at our discretion.

Intellectual Property

HiHlo’s Intellectual Property

All content, features, and functionality on the HiHlo platform, including our logo, design, text, graphics, software, and other materials (excluding User Content), are owned by HiHlo or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or create derivative works based on our intellectual property without our prior written consent.

Trademarks

The HiHlo name, logo, and any related marks are trademarks of HiHlo. You may not use our trademarks without our express written permission.

DMCA Policy

We comply with the Digital Millennium Copyright Act (DMCA). If you believe your copyrighted work has been infringed on HiHlo, please send a notice to support@hihlo.com with the following information:

• A description of the copyrighted work.
• The location of the infringing material on HiHlo.
• Your contact information.
• A statement that you have a good-faith belief the use is not authorized.
• A statement, under penalty of perjury, that the information is accurate and you are the copyright owner or authorized to act on their behalf.
• Your electronic or physical signature.

We will respond to valid DMCA notices promptly and may remove infringing content or terminate accounts of repeat infringers.

Monetization Features

HiHlo offers monetization features such as fan subscriptions, tips, and sponsored posts for eligible creators. To participate, you must:

• Meet our eligibility criteria, which may include account age, follower count, or content quality standards.
• Provide accurate payment information through our third-party payment processors.
• Comply with all applicable tax laws and regulations.

We may charge a service fee on earnings, which will be disclosed to you before you enroll in monetization programs. Payments are subject to the terms of our payment processors, and we are not responsible for delays or issues caused by them.

We reserve the right to suspend or terminate your access to monetization features if you violate these terms or engage in fraudulent activity.

Third-Party Services

HiHlo may integrate with third-party services, such as Google Analytics for analytics or payment processors for monetization. These services are governed by their own terms and privacy policies, which you should review.

We are not responsible for the performance, security, or practices of third-party services, and your use of them is at your own risk.

Termination and Suspension

By You

You may terminate your account at any time by following the instructions in your account settings. Upon termination, your profile and User Content will be removed, though content shared by others may remain.

By HiHlo

We may suspend or terminate your account or access to HiHlo at our discretion, with or without notice, if:

• You violate these Terms & Conditions.
• We suspect fraudulent, abusive, or illegal activity.
• Your use of the platform poses a risk to us, other users, or third parties.
• We are required to do so by law.

Upon termination, your right to use HiHlo will cease immediately, and we may delete your account data, subject to legal requirements.

Disclaimer of Warranties

HiHlo is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the platform, including but not limited to:

• The accuracy, reliability, or completeness of any content.
• The availability or uninterrupted operation of the platform.
• The absence of viruses, malware, or other harmful components.
• The fitness of the platform for your particular purpose.

We do not guarantee that HiHlo will meet your expectations or that any errors will be corrected. Your use of the platform is at your own risk.

Limitation of Liability

To the fullest extent permitted by law, HiHlo, its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the platform, including but not limited to:

• Loss of profits, data, or goodwill.
• Unauthorized access to or loss of your content.
• Any errors, interruptions, or delays in the platform’s operation.
• Any conduct or content of other users or third parties.

Our total liability to you for any claim arising from these terms or your use of HiHlo will not exceed the greater of $100 or the amount you paid us in the past 12 months.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so the above may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless HiHlo, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising from:

• Your use of HiHlo.
• Your User Content.
• Your violation of these Terms & Conditions.
• Your violation of any third-party rights, including intellectual property or privacy rights.
• Any fraudulent, negligent, or intentional misconduct by you.

Dispute Resolution

Informal Resolution

If you have a dispute with us, you agree to first attempt to resolve it informally by contacting us at support@hihlo.com. We will respond within 30 days and work with you in good faith to resolve the issue.

Arbitration

If the dispute cannot be resolved informally, you agree to resolve it through binding arbitration, except as provided below. Arbitration will be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

• The arbitration will take place in San Francisco, California, unless we agree otherwise.
• You may choose to have the arbitration conducted by phone, video conference, or in person.
• The arbitrator’s decision will be final and binding, except for limited rights of appeal under the Federal Arbitration Act.

Exceptions to Arbitration

The following disputes are not subject to arbitration:

• Claims involving intellectual property rights.
• Claims seeking injunctive relief.
• Claims that qualify for small claims court.

Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive any right to participate in a class action, collective action, or representative action against us.

Governing Law

These Terms & Conditions are governed by the laws of the State of California, USA, without regard to its conflict of law principles. For disputes not subject to arbitration, you agree to submit to the exclusive jurisdiction of the state and federal courts located in San Francisco, California.

Changes to These Terms

We may update these Terms & Conditions from time to time to reflect changes in our practices, legal requirements, or platform features. We will notify you of material changes by posting the updated terms on this page and updating the "Last updated" date.

Your continued use of HiHlo after the changes take effect constitutes your acceptance of the updated terms. If you do not agree to the changes, you must stop using the platform.

Miscellaneous

Entire Agreement

These Terms & Conditions, along with our Privacy Policy and any other agreements you enter into with us, constitute the entire agreement between you and HiHlo regarding your use of the platform.

Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these terms does not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer your rights or obligations under these terms without our prior written consent. We may assign or transfer our rights and obligations without restriction.

Force Majeure

We are not liable for any failure to perform our obligations under these terms due to events beyond our control, such as natural disasters, wars, or government actions.
